These terms govern the relationship between Lisa Technologies and the subscribing organization (the "Subscriber") regarding the use of the Lisavue Platform.
1.1 Grant of License: Lisa Technologies grants the Subscriber a non-exclusive, non-transferable license to access and use the Lisavue Platform (including the web dashboard, mobile apps, and APIs) for its internal operations related to urban monitoring, waste management, road maintenance, and traffic analysis within the Subscriber’s designated geographic areas.
1.2 User Accounts: Access is permitted only through authorized user accounts (Admin, Supervisor, Analyst, etc.), and the Subscriber is responsible for maintaining the confidentiality of login credentials.
2.1 Subscription: The Subscriber agrees to pay the recurring subscription fees for platform access as defined in the executed Service Agreement.
2.2 Pricing Changes: Lisa Technologies reserves the right to adjust subscription fees upon [30 days] written notice to the Subscriber.
2.3 Verification & Cleanup Fees (If Applicable): If the Subscriber utilizes the optional Full-Cycle Solution (LAN/cleanup service), the Subscriber agrees to pay per-incident cleanup fees based on the successful VERIFICATION of the task by the Lisavue Platform, as defined in the associated Service Agreement (Tier 1, 2, 3 pricing).
3.1 Data Ownership: The Subscriber retains ownership of all raw data (drone imagery, reports, geo-coordinates) collected specifically for and on behalf of the Subscriber's organization through the Lisavue Platform within their service territory.
3.2 Data Rights: The Subscriber grants Lisa Technologies a non-exclusive, royalty-free license to use, process, and aggregate anonymized data for the sole purposes of improving the Lisavue AI models, platform performance, and internal statistical analysis.
3.3 Data Security: Lisa Technologies shall maintain industry-standard security measures to protect Subscriber Data.
4.1 Usage Restrictions: The Subscriber shall not license, sublicense, sell, reverse engineer, or use the Lisavue Platform to develop a competing product.
4.2 Legal Compliance: The Subscriber is solely responsible for ensuring that its use of the Lisavue Platform and the resultant data complies with all applicable local, regional, and national laws and regulations.
5.1 Termination: Either party may terminate the subscription upon written notice if the other party materially breaches these Terms and fails to cure such breach within [30 days] of receiving notice.
5.2 Data Retrieval: Upon termination, Lisa Technologies will provide the Subscriber with reasonable access to export their data for a period of [30 days].
